This is a request for feedback only on the attached Queensland Health Trading Terms. These Terms have been developed to support the Prostheses Category for upcoming Procurement Activities.
It is likely the Terms may change when used for Prostheses procurement, post input from Suppliers and Customers. The objective of releasing now, is to enable feedback from suppliers, particularly Queensland small and family businesses, to understand any limitations or challenges that could be encountered if entering into a Standing Offer Arrangement under these Terms.
It is not intended to require suppliers to endure any costs for this feedback collection, and no claim for cost will be accepted with any feedback provided.
1. Purpose and Scope of the SOA
The SOA establishes a framework under which Hospital and Health Services may access Goods, Services, and other Deliverables from approved prostheses Suppliers during the SOA Term. The arrangement is designed to streamline procurement, provide clarity on the responsibilities of Suppliers, and facilitate timely access to clinical equipment, products, and associated services.
2. Methods of Engagement under the SOA
Eligible Customers may engage Suppliers under the SOA in the following ways:
• Purchasing Goods and Services: Customers may issue SOA Orders to acquire Goods or other Deliverables directly from Suppliers.
• Consignment Arrangements: Customers may enter into Consignment Contracts under which Suppliers provide Goods for storage at the relevant Hospital and Health Service (HHS) Site, maintain stock levels, and make the Goods available for ongoing selection and use by clinical Personnel. To enter a Contract, the relevant HHS and Supplier will need to sign a proforma Schedule, which will be created in due course (similar to the Metro North example).
• Loan Sets: Terms and conditions are included to govern Customer arrangements with Suppliers for the supply of Loan Sets to meet clinical requirements.
• Equipment Supply and Procedure Services: Customers may enter Equipment Contracts under which Suppliers provide Equipment and, where applicable, Procedure Services, including training and clinical support for the operation of the Equipment. This is the last Schedule to the SOA, and is quite detailed.
3. Structure and Benefits
The SOA is structured to provide clarity and consistency across multiple forms of engagement. By consolidating these arrangements under a single framework, Eligible Customers can:
• access a range of products and services efficiently;
• ensure compliance with relevant Queensland Health standards and protocols;
• maintain clear governance and contractual responsibilities; and
• benefit from standardised terms for delivery, installation, training, maintenance, and clinical support.
4. Next Steps
This framework allows for straightforward creation of individual Orders, Consignment Contracts, Loan Set arrangements, and Equipment Contracts without the need to negotiate separate terms for each engagement. Each contract under the SOA will reference the overarching SOA terms, providing legal and operational consistency.
