AUDIT, RISK AND IMPROVEMENT COMMITTEE STRUCTURE
The Audit, Risk and Improvement Committee (Committee) is a Committee of the Armidale Regional Council. Committee meetings are closed to the public. Minutes of the Committee meetings will be presented to Council for information through the General Manager. The Committee consists of three independent external members (Chairperson and two independent members) with provision for one\ Councillor non-voting member. Selected Council staff attend meetings as non-voting members.
AUDIT, RISK AND IMPROVEMENT COMMITTEE OBJECTIVES
The objective of Armidale Regional Council’s audit, risk and improvement committee is to provide independent assurance to Armidale Regional Council by monitoring, reviewing and providing advice about the Armidale Regional Council’s governance processes, compliance, risk management and control frameworks, K2A project, external accountability obligations and overall performance.
MEETINGS
The Committee meets a minimum of four times a year. The meeting venue is the Council Administration Building with provision for virtual attendance.
REMUNERATION
Independent Committee members will receive a set fee plus reimbursement of reasonable travel and accommodation expenses for each meeting attended. The fee has been set by resolution of Council at $1285.00 for committee members and $1930.00 for Chairperson. Superannuation or GST will be paid on top of the nominated fee.
TERM OF MEMBERSHIP
The term of appointment is for a 2½ year term. External members may be re-appointed.
Vacancies shall be filled by public advertisement; an evaluation and interview of shortlisted candidates and a recommendation for appointment put to Council.
SKILLS and EXPERIENCE
The external independent members of the Committee, taken collectively, will have a broad range of skills and experience. For this recruitment Council is seeking one or more of the following categories of skills and experience;
• Civil engineering qualification or management of Civil engineering projects with demonstrated experience and specialized knowledge in complex billion dollar infrastructure projects
• Risk management qualification or a strong understanding of risk assessment and mitigation strategies for managing the potential risks associated with large projects.
• Business improvement in a public sector environment.
EVALUATION
The evaluation of external members will be undertaken by the Council taking account of the experience and skills of candidates.
